Background:

TLT helped Future plc buy a UK digital publishing group, an important move in the media industry. The deal is worth £39.9 million in cash, with extra payments possible based on future performance.

Future plc, a Bath-headquartered publisher with offices in Cardiff, is known for its portfolio of specialist media titles, including the Women and Luxury brands Who What Wear and Marie Claire. Earlier this month, the company announced the acquisition of SheerLuxe Ltd and BLUSH Talent MGMT Ltd, both of which are focused on women’s lifestyle and digital content.

SheerLuxe has a large online following of over six million people through its website, social media, emails, YouTube, and podcasts. The purchase will make Future’s brands stronger and expand its reach in women’s fashion and lifestyle.

TLT helped Future with the deal, taking care of all legal work and checks. The team was led by corporate partner Philip Barratt, with support from Luke Thorngate-Davies, Alex Morris, and Isabel Evans. The law firm also brought together a cross-practice team covering Technology, IP and Data; Employment; Regulatory; Tax; Commercial; Property; and Pensions and Incentives.

Philip Barratt emphasized the strategic importance of the acquisition, stating that combining these brands reflects the publishing industry’s shift toward digital platforms and influencer-driven distribution models. “Our collaboration with Future plc allowed us to deliver a smooth and efficient process, aligning legal expertise with the company’s sector knowledge,” Barratt said.

Christopher Flanagan, head of legal at Future plc, said TLT was helpful, quick to respond, and worked well with their team. He added that SheerLuxe’s growth and loyal audience make it a great addition to Future’s brands, and TLT’s support was important for the deal.
